AGREED TERMS

Your attention is particularly drawn to the provisions of clause 12 (Limitation of liability).

1. About us

1.1 Company details.

DailyPosts (we and us) is a company registered in England and Wales and our registered office is at 3rd Floor, 311 Ballards Lane, London, N12 8LY. We operate the website www.dailyposts.co.

2. Our contract with you

2.1 Our contract. These terms and conditions of service (Terms) apply to the order by you, and supply by us, of Services. They apply to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

2.2 Entire agreement. These Terms, the Privacy Policy and the Acceptable Use Policy make up the entire agreement (Entire Agreement) between you and us in relation to the subject matter. You acknowledge that you have not relied on any statement, promise or representation or assurance or warranty that is not set out in the Entire Agreement.

2.3 Language. These Terms and the Contract are made only in the English language.

3. Purchasing your subscription and its acceptance

3.1 Purchasing your subscription. Please follow the onscreen prompts to purchase your subscription to our service. You may only subscribe using the method set out on the site. Each order is an offer by you to buy the services offered by our social media management and AI tools (Services) subject to these Terms.

3.2 Accepting your request for subscription. Our acceptance of your order takes place when we send an email to you to confirm that your first subscription payment has been charged (Subscription Confirmation), at which point and on which date (Commencement Date) these Terms between you and us will come into existence. These Terms will relate only to those Services confirmed in the Subscription Confirmation.

3.3 If we cannot accept your request for subscription (including where the first or any subsequent subscription payments could not be charged successfully or if we are unable to supply you with the Services for any reason), we will inform you of this by email and we will not process your request.

3.4 We reserve the right to withdraw at any time our offer to trial our services for free for 14 days where we believe in our sole opinion this is being abused.

4. Cancelling the Contract

4.1 You may terminate these Terms at any time unless a specific signed agreement is made for a certain period of time. If you terminate the Terms before the end of your current paid-up period, you will have access until 1 day before the paid-up period ends at which point termination will take effect and you will not be charged again. Absolutely no refunds will be given for prepayment of Services or for proration of Services if there is a cancellation during the paid-up period.

4.2 To cancel these Terms, where you have not signed a specific agreement with us other than agreeing to these Terms, you simply have to log in to your account and complete the cancellation form found on the “Subscription” page. If you have signed a specific White Label, Co-Branding or any other form of custom agreement, you will need to contact [email protected] to discuss whether your Terms are still applicable.

5. Our services

5.1 Services. We will provide you with a limited, revocable license to our social media management tools, as more particularly described on our site, and to DailyPosts AI (Services). “DailyPosts AI” means any feature(s) or functionality made available by DailyPosts and labelled as “DailyPosts AI” that utilises artificial intelligence, machine learning, natural language processing, computer vision, generative AI or similar technologies. DailyPosts AI may be developed by DailyPosts and/or our third-party service providers.

5.2 Third Party Service Providers. The Services may contain features that enable various third-party service providers (such as social media services like Facebook, Twitter and LinkedIn) and large language models such as OpenAI (“Third Party Service Providers”) to be directly integrated into your DailyPosts account. To take advantage of these features, you may be required to register for or log into the Third Party Service Providers on their respective websites. Using large language model Third Party Service Providers is an integration that is not required for use of DailyPosts. By enabling social media Third Party Service Providers within the Services, you are allowing us to pass your login information to these Third Party Service Providers for this purpose. You agree to comply with all the terms of service and use of the Third Party Service Providers, including content policies, sharing and publication policies, and community guidelines (“Third Party Service Providers Terms”). We shall not be liable to you in any way in the event that you do not follow such Third Party Service Providers Terms nor for any failure to connect to a Third Party Service Provider or such Third Party Service Provider’s rate limits. In the event that you breach Third Party Service Providers Terms we have the right to immediately terminate our Terms with you.

5.3 Descriptions and illustrations. Any descriptions or illustrations on our site are published for the sole purpose of giving an approximate idea of the services described in them. They will not form part of the Terms or have any contractual force.

5.4 Changes to Services. We reserve the right to amend the specification of the Services at any time and will use reasonable endeavours to notify you in advance, but are under no obligation to do so. We shall not be liable for any losses caused by a change in the specification of the Services howsoever caused.

5.5 Reasonable care and skill. We will provide the Services to you using reasonable care and skill.

5.6 Availability of Site. Whilst we shall do our best to ensure the Services and the site are always available, we cannot guarantee it will be uninterrupted, always available or error free.

6. Your obligations

6.1 It is your responsibility to ensure that:

  • (a) you co-operate with us in all matters relating to the Services;
  • (b) you provide us with such information and materials we may reasonably require in order to supply the Services;
  • (c) you comply with all applicable laws, including data protection laws;
  • (d) you comply with our acceptable use policy;
  • (e) you input the correct country, province and country codes which reflect the country you live in when purchasing your subscription;
  • (f) you have all necessary rights, title and interest to your data, content and information (Customer Property) and appropriate consent to grant us a license to use it.

6.2 You may not use DailyPosts AI or Output (as defined in Section 10.2):

  • (a) to develop foundation models or other large-scale models that compete with DailyPosts;
  • (b) to mislead any person that Output from the Service was solely human generated;
  • (c) in a manner that violates any technical documentation, usage guidelines, or parameters;
  • (d) to make automated decisions that may have a detrimental impact on individual rights without appropriate human supervision; or
  • (e) in a manner that infringes, violates, or misappropriates any of our rights or the rights of any third party.

6.3 If our ability to perform the Services is prevented or delayed by your failure to fulfil any obligation in clauses 6.1 or 6.2 (Your Default):

  • (a) we may suspend performance until you remedy Your Default;
  • (b) we will not be responsible for any costs or losses you sustain arising directly or indirectly from our failure or delay;
  • (c) you must reimburse us for any costs or losses we sustain arising from Your Default.

7. Charges

7.1 You must pay our charges (Charges) in accordance with this clause 7.

7.2 The Charges are the prices quoted on our site at the time you submit your order.

7.3 Changes to scope via the “Subscription” page will modify the Charges accordingly.

7.4 We take reasonable care to ensure prices are correct but see clause 7.7 for pricing errors.

7.5 We reserve the right to increase the Charges at any time.

7.6 Charges are exclusive of VAT; where VAT applies you must pay it at the applicable rate.

7.7 If a Service is mispriced, we will contact you to: (i) reconfirm at the correct price, or (ii) cancel your order.

7.8–7.12 (Discounts, prorations, grace periods, failed payment rules — unchanged.)

8. How to pay

8.1 Payment is in advance. You get 14 days free trial; if not cancelled, your first payment is taken on day 14, then per your chosen frequency.

8.2 You can only pay using debit or credit card unless otherwise agreed.

8.3 You must pay all amounts due without set-off, counterclaim, deduction or withholding.

9. Complaints

10. Intellectual property rights

10.1 We own all right, title and interest in and to the Services. You only receive rights to use the Services as explicitly granted herein.

10.2 If you use DailyPosts AI, your uploaded data (“Input”) generates AI-driven results (“Output”). You own your Output; we assign to you any rights granted to us by third parties. You remain responsible for legal compliance of your AI Content.

10.3 We will not use your Customer Property to train public AI models. Third parties may not train on your data. We have a Data Processing Addendum with OpenAI (available on request).

11. How we may use your personal information

We will use personal data to:

  • (a) provide the Services;
  • (b) process payment;
  • (c) inform you of similar products or services (opt-out available).

12. Limitation of liability & Disclaimer

12.1 Nothing limits liability for death, personal injury, fraud, or breach of title.

12.2 Subject to 12.1, we are not liable for:

  • (a) loss of profits;
  • (b) loss of business;
  • (c) loss of contracts;
  • (d) data loss;
  • (e) goodwill damage;
  • (f) indirect or consequential loss;
  • (g) loss due to a defective AI system.

12.3 DailyPosts AI is provided “as is.” We make no warranty as to accuracy or suitability. You must fact-check and review before reliance.

12.4 Subject to 12.1, our total liability is limited to Charges paid under these Terms.

12.5 All implied warranties are excluded to the fullest extent permitted by law.

12.6 Clause 12 survives termination.

13. Confidentiality

13.1 We each agree not to disclose the other’s confidential information except as permitted below.

13.2 Permitted disclosures:

  • (a) to employees, agents or advisors who need to know;
  • (b) as required by law or authority.

13.3 Confidential information is used only to fulfill our obligations.

14. Termination

14.1 We may suspend or terminate immediately if you:

  • (a) commit a material breach;
  • (b) fail to pay;
  • (c) enter insolvency proceedings;
  • (d) cease business;
  • (e) financial position deteriorates;
  • (f) jeopardise our business.

14.2 Termination does not affect accrued rights.

14.3 Surviving provisions remain in effect.

15. Events outside our control

15.1 We are not liable for delays caused by events beyond our reasonable control, including third-party outages.

15.2 We will notify you and suspend obligations until resolution. If provision becomes impossible or commercially unjustifiable, we may cease that part of the Service.

15.3 You may cancel if Services are affected permanently.

16. Communications between us

16.1 “In writing” includes email.

16.2 Notices must be sent personally, by post, or by email.

16.3 Receipt times:

  • (a) personal delivery – on signature;
  • (b) post – 9:00 am second working day after posting;
  • (c) email – 10:00 am next working day after sending.

16.4 Proof of posting/email is sufficient evidence of service.

16.5 Does not apply to legal proceedings.

17. General

17.1 Assignment.

  • (a) We may assign our rights and obligations.
  • (b) You may only assign with our written consent.

17.2 Variation. Only in writing and signed by both parties.

17.3 Waiver. Failure to enforce does not waive rights.

17.4 Severance. Invalid provisions do not affect the rest.

17.5 Third party rights. Only you and us have rights under this Contract.

17.6 Governing law and jurisdiction. English law. Exclusive jurisdiction of the English courts (with rights for Scottish/Northern Irish residents).
